Who We Are — and Who We Are Not
P2P Shares, Inc. (“P2P Shares,” “we,” “us,” or the “Platform”) is a financial technology company. We provide technology that helps buyers and sellers of private-company shares find one another and organize their own transactions.
P2P Shares is not a registered broker-dealer, investment adviser, funding portal, securities exchange, alternative trading system, or depository institution. We are not a member of FINRA or SIPC. No federal or state securities regulator has approved, endorsed, or passed upon the merits of any transaction organized through the Platform.
All technology infrastructure, automated documentation utilities, and digital workspace configurations provided through the Platform are operated as a non-broker-dealer matching network. Transactional escrow, compliance screening, and custodial clearing services are performed by independent, registered third-party providers — not by P2P Shares.

P2P Shares does not provide investment advice, endorsements, analysis, or recommendations of any kind, and does not solicit, structure, negotiate, or execute securities transactions. Risk Factors
Investing in private-company securities is highly speculative and involves substantial risk, including the risk of losing your entire investment. Before participating, you should understand at minimum the following:
- Illiquidity. Private-company shares are not traded on a public exchange. You may be unable to resell your shares for an extended period, or at all.
- No guarantee of a liquidity event. Not all private companies will experience an IPO, acquisition, or other liquidity event. You must be capable of absorbing a total loss of your principal.
- Limited information. Private companies are not subject to the reporting requirements that apply to public companies. Information available about them may be incomplete, unaudited, outdated, or unverifiable.
- Valuation uncertainty. Prices for private shares are set by the parties to a transaction and may not reflect any independent or reliable measure of value. Past funding-round valuations are not indicative of current or future value.
- Transfer restrictions. Private-company shares are typically subject to contractual and legal transfer restrictions, including rights of first refusal, board-approval requirements, and holding-period requirements under federal securities law. A proposed transaction may be blocked, delayed, or restructured by the issuer.
- Past performance. Past performance is not indicative of future market outcomes.
Eligibility
Participation in transactions organized through the Platform is limited to persons who meet the applicable eligibility requirements under U.S. federal securities law, including, where required, qualification as an “accredited investor” as defined in Rule 501 of Regulation D. You are responsible for the accuracy of the eligibility information you provide.

Third-Party Services
Escrow, custody, identity verification, and payment services connected with Platform transactions are provided by independent third parties under their own terms and regulatory authorizations. P2P Shares does not hold customer funds or securities.
